1. Agreement and scope
Dock is a service provided by Stratus Aviation, Inc., a Delaware corporation ("we," "us," or "our"). These Terms govern the Dock website and service. You must be at least 18 and use Dock for lawful business purposes. If you use Dock for an organization, you must have authority to accept these Terms on its behalf.
You agree by creating an account or continuing through a screen that clearly links these Terms and states your agreement, or by accepting a purchase proposal or invoice that incorporates them. Receiving an invoice alone does not establish agreement or authorize recurring charges.
Dock helps shops manage repair authorization work. These Terms apply without a separate contract. A separately accepted written agreement controls a conflict within its scope; the remaining Terms apply. Website descriptions and demonstrations do not expand those commitments.
2. Accounts and permitted use
Keep your account information accurate and your credentials secure. Tell Dock promptly about suspected unauthorized access. Use Dock only for lawful business purposes. Do not interfere with the service, attempt unauthorized access, introduce malicious code, or violate another person's rights.
3. Review and submission responsibility
Dock may extract, organize, translate, or suggest information from repair documents. Automated output can be incomplete or incorrect. Your organization is responsible for checking the source documents, codes, quantities, prices, repair details, credentials, and final submission before it is sent.
A prepared request, saved draft, submission, response, and approval are different states. The applicable provider decides whether work is authorized and on what conditions. Dock does not guarantee approval, payment, reimbursement, response times, or the suitability or safety of a repair. Your organization remains responsible for decisions made from provider responses.
4. Customer data and instructions
Information and files submitted through your account are "Customer Data." As between you and Dock, you retain your rights in Customer Data; third-party rights remain with their owners. You grant Dock the limited right to process Customer Data for requested features, security, support, and legal obligations, including AI-assisted extraction, matching, and workflow assistance.
Dock may improve the service using aggregated or de-identified usage and performance information that identifies neither your organization nor an individual. AI-provider retention and model-training practices depend on provider terms and account settings. Contact Dock about required processing restrictions before submitting affected data. Separately agreed data-use restrictions control.
You must have the rights and permissions needed to provide Customer Data and direct its use. This includes any required permissions from your organization, customers, vehicle owners, affected individuals, and service providers. Do not submit material or instructions that infringe another person's rights or require an unauthorized act.
5. Connected portals and third-party services
Dock connects with third-party services, including repair authorization portals, payment processors, and infrastructure providers. Dock does not control those services. Their availability, features, account requirements, and terms may affect Dock. Supported operations may differ by provider, account, and order status, and may change or become unavailable.
You authorize Dock to use supplied account access and exchange information at your direction only within your authority. You must obtain the permissions required for accounts, credentials, data, submissions, automation, and delegation. Your authorization does not establish portal-operator permission. These Terms do not override provider agreements, grant provider licenses, or authorize bypassing access controls.
Dock may decline an instruction or suspend a connection when reasonably needed to address disputed authority, suspected infringement, unlawful activity, security concerns, or provider restrictions. Additional commitments in your written agreement remain subject to that agreement.
6. Fees, payment, and renewal
You owe the fees accepted at checkout or in an agreed purchase or invoice arrangement. Unless separately agreed: fees are in US dollars; recurring fees are billed in advance; invoices are due in 30 days; and no interest or late fee applies without advance agreement. Invoices cannot unilaterally change agreed terms.
Subscriptions renew for the disclosed billing period, or monthly if none is specified. Cancel before renewal through available billing controls or support@dock.inc; cancellation takes effect at the end of the paid period. One-time purchases do not renew without agreement. Price increases require at least 30 days' notice and apply at a future renewal.
Fees exclude applicable transaction taxes unless stated otherwise. You are responsible for them, except taxes on Dock's income, property, or employees; provide a valid exemption certificate where applicable. Promptly report billing disputes and pay undisputed amounts. Dock may suspend access for undisputed overdue fees, subject to legally required or separately agreed notice and cure rights. Suspension does not cancel renewal.
Current-period fees are nonrefundable unless law or a separate agreement requires otherwise. If Dock ends paid service without cause, it will refund the unused prepaid portion.
We may improve, change, or discontinue features and will use reasonable efforts to avoid materially reducing paid functionality without notice. Dock may suspend access promptly when reasonably needed to protect the service or prevent unlawful or harmful use.
7. Shop referral program
Referring a new shop that becomes a Dock customer may qualify for one $100 gift card, subject to Dock's verification, approval, and sole discretion. These are the default program terms unless you accept a different written offer when referring. Submission does not guarantee a reward; Dock will contact approved recipients about fulfillment.
Self-referrals, referrals of your organization or existing customers, and duplicate referrals do not qualify. Referrals must be accurate and lawful, with permission to share contact information. Fraud, impersonation, misleading claims, and spam may be rejected. Disclose an expected referral benefit when publicly recommending Dock as required by advertising rules. Recipients are responsible for applicable taxes.
Dock may change or end the program, terms, or rewards at any time without prior notice, subject to law. Changes apply prospectively and preserve rewards already earned under the accepted offer. Questions: support@dock.inc.
8. Dock ownership and feedback
Dock and its licensors own the service, software, design, and related intellectual property, excluding Customer Data. Dock may use feedback without restriction or obligation, provided it does not identify your organization or disclose Customer Data publicly.
9. Third-party names, marks, and content
Third-party names, logos, trademarks, service marks, interfaces, and content belong to their respective owners. References to a provider do not by themselves imply affiliation, sponsorship, endorsement, certification, or permission from that provider.
These Terms do not transfer ownership of third-party material or grant rights that Dock does not have. An authorized relationship or license is governed by its applicable agreement. Workflow status labels and checkmarks do not represent vendor certification or approval unless expressly identified as such.
10. Disclaimers and warranties
To the extent permitted by law and subject to express obligations in your written agreement, Dock is provided "as is" and "as available." We disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that automated output, recorded status, or third-party results will be accurate, complete, current, or uninterrupted.
Dock does not control a provider's access rules, decisions, availability, account restrictions, or portal changes. Customer review remains necessary. Dock does not replace your organization's repair, compliance, accounting, or other professional judgment. This section does not exclude rights or warranties that applicable law does not allow to be excluded.
11. Limitation of liability
To the extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, including lost profits or business opportunities, arising from these Terms or the service.
Each party's total aggregate liability arising from these Terms or the service will not exceed the fees paid or payable to Dock for the service during the twelve months before the first event giving rise to the claim. Multiple claims do not increase that aggregate limit.
These exclusions and limits do not reduce your obligation to pay agreed fees or perform the customer indemnity below, or either party's liability for fraud, willful misconduct, or any liability that applicable law does not allow to be excluded or limited. An express limitation in a separately accepted written agreement controls a conflict.
12. Customer indemnity for specified third-party claims
To the extent permitted by law, you will defend Dock against a third-party claim and indemnify Dock for damages, approved settlements, and reasonable defense costs to the extent the claim results from infringing Customer Data you supplied, an instruction you gave without required authority, or your material breach of the account, data, or portal-permission obligations in these Terms.
This obligation applies only to the portion of a claim attributable to the covered Customer Data, instruction, or breach. It does not cover Dock's fraud, willful misconduct, or use of Customer Data outside authorized rights and instructions, or an unrelated infringement claim against the Dock service itself.
Dock will give prompt written notice of a covered claim; delay reduces your obligations only to the extent it materially harms the defense. Dock may control the defense with reasonably qualified counsel, with reasonable covered defense costs at your expense. You will provide reasonable cooperation and may participate through your own counsel at your expense. You may not settle a claim affecting Dock without Dock's prior written consent. Dock will not settle a claim in a way that requires you to admit fault or assume obligations beyond this indemnity without your consent.
13. Ending access and Customer Data
Either party may end a subscription at the current paid period's end by notifying the other before renewal, unless separately agreed. Either may terminate for a material breach uncured 30 days after written notice. The nonpayment and urgent suspension rights in Section 6 apply.
When access ends, use rights stop and accrued fees remain due. Download available documents before then, or request retained Customer Data from support@dock.inc. Available records, formats, and access depend on verification, applicable agreements, and law; post-cancellation access may require support.
Cancellation does not automatically delete records or stored portal access. Disconnect supported connections, revoke access with the provider, or contact support to request removal of credentials and other retained data. The Privacy Policy describes retention, backups, and legal exceptions.
Provisions that should continue by their nature—including confidentiality, ownership, accrued payment obligations, applicable indemnity obligations, disclaimers, liability limits, and dispute provisions—survive termination to the extent permitted by law.
14. Confidentiality
Each party will reasonably protect the other's nonpublic information, including Customer Data, credentials, pricing, and business information; use it only for the agreement; and disclose it only to people or providers who need it and have appropriate confidentiality duties.
Exceptions cover information lawfully known without restriction, public without breach, independently developed, or lawfully received without a confidentiality duty. Legally compelled disclosures must be limited, with notice when permitted. Protection continues while information remains confidential, with trade secrets protected as required by law. Applicable privacy and data-processing obligations also apply.
15. Disputes
Either party may request good-faith resolution by written notice identifying the account and dispute; contact support@dock.inc. This does not prevent urgent relief or filings needed to preserve a deadline. These Terms do not require binding arbitration or waive nonwaivable rights.
16. General terms
Assignment requires the other party's written consent, except for a merger, reorganization, acquisition, or sale of substantially all the relevant business or assets if the successor assumes the obligations. Assignment does not expand Customer Data uses or reduce privacy duties. Permitted successors are bound.
These Terms and separately accepted purchase terms and written agreements are the entire agreement on their subject matter. Signed customer or data-processing agreements control conflicts within their scope. Purchase-order boilerplate and later invoices do not amend the agreement without acceptance.
An unenforceable provision will be limited as legally permitted; the rest continues. Delayed enforcement is not a waiver. Waivers must be written and specific.
Send contractual notices to support@dock.inc, identifying the account and subject. Dock may notify the account owner's current email or another designated address. Email notice is effective on receipt; legal process must follow applicable law.
Neither party is responsible for events beyond reasonable control if it mitigates, gives notice of material disruption, and resumes performance when possible. Accrued payment, confidentiality, and security duties remain. After 30 days of disruption, either may end the affected service with a refund of unused prepaid fees.
17. Changes and contact
Material changes for existing paid customers apply at a renewal after at least 30 days' email or prominent service notice, allowing cancellation first, unless law or a separate agreement provides otherwise. Urgent legal or security changes may take effect sooner with appropriate notice. Changes do not retroactively expand Customer Data rights, remove earned rewards, or amend a signed agreement by posting alone.
We display the revised date above. Questions and notices: support@dock.inc or your Dock representative. The Privacy Policy describes personal-information handling.
